1. ACCEPTANCE OF TERMS

These Terms of Service constitute a legally binding agreement between you and Ourfirm.ai Inc. ("OurFirm.ai," "we," "our," or "us") governing your access to and use of the OurFirm.ai platform, including any associated applications, websites, software, and services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

2. ELIGIBILITY AND REGISTRATION

2.1 Registration

To access the Services, you must create an account by providing accurate and complete registration information. You agree to maintain and promptly update your registration information to keep it accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify OurFirm.ai of any unauthorized use of your account or any other breach of security.

2.2 Age Requirement

You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that you are at least 18 years old.

2.3 Account Security

You agree not to share your account credentials with any third party. Each registered user must have their own individual account. OurFirm.ai reserves the right to suspend or terminate accounts that are being shared among multiple users.

3. SERVICES DESCRIPTION

3.1 Platform Services. OurFirm.ai provides an artificial intelligence-powered legal practice management platform that includes document generation, discovery request processing, and collaborative editing capabilities. The specific features and functionalities available to you depend on your subscription tier.

3.2 Subscription Tiers. We offer three subscription tiers: Basic, Professional, and Enterprise. Each tier provides access to different features and capabilities as described on our website. OurFirm.ai reserves the right to modify, suspend, or discontinue any aspect of the Services at any time.

4. PAYMENT TERMS AND CONDITIONS

4.1 Subscription Fees

You agree to pay all applicable fees for your selected subscription tier. All fees are payable in U.S. dollars and are processed through our third-party payment processor, Stripe. Fees are non-refundable except as required by law or expressly stated in these Terms.

4.2 Billing Cycle

Subscription fees are billed on a monthly basis. You may cancel your subscription at any time, and your access to the Services will continue until the end of your current billing period. We do not automatically renew subscriptions unless you expressly opt in to automatic renewal.

4.3 Changes to Fees

We reserve the right to change our fees upon thirty (30) days' notice. If you continue to use the Services after a fee change takes effect, you agree to pay the changed fees.

5. DATA SECURITY AND PRIVACY

5.1 Security Measures

We implement industry-standard security measures to protect your data, including end-to-end encryption for all data transmission and storage. All data processing occurs on secure servers, and we maintain strict access controls to protect your information.

5.2 Data Processing

We process your data solely to provide the Services. Following processing, uploaded data is permanently deleted from our systems. We do not retain, use, or access your data for AI training or any other purposes not essential to providing the Services.

5.3 Third-Party Services

We utilize certain third-party services to provide the Services, including Amazon Web Services (cloud storage), OpenAI, Anthropic, and Cerebras (AI processing), and Stripe (payment processing). These service providers receive only the data necessary to perform their specific functions and are bound by strict confidentiality requirements.

6. USER OBLIGATIONS AND RESPONSIBILITIES

6.1 Professional Conduct

You agree to use the Services in accordance with applicable laws, regulations, and professional ethics rules. You are responsible for maintaining client confidentiality and exercising professional judgment in your use of the Services.

6.2 Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms;
  • Share your account credentials or allow unauthorized access to your account;
  • Attempt to circumvent or disable any security features of the Services;
  • Interfere with or disrupt the integrity or performance of the Services; or
  • Engage in any activity that could harm, disable, or impair the Services.

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 No Guarantees

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee the accuracy, completeness, or reliability of any content generated through the Services. You acknowledge that you must independently verify all AI-generated content and exercise professional judgment in using the Services.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OURFIRM.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Platform Rights

The Services, including all associated software, features, and content (excluding User Content, defined below), are owned by OurFirm.ai and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services.

8.2 User Content

You retain all rights in any content you upload or create through the Services ("User Content"). By using the Services, you grant OurFirm.ai a limited license to store, process, and transmit User Content solely as necessary to provide the Services.

9. TERM AND TERMINATION

9.1 Term

These Terms remain in effect while you use the Services. You may terminate your use of the Services at any time by canceling your subscription and closing your account.

9.2 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We will securely delete all User Content in accordance with our Privacy Policy. Sections 7, 8, and 10 of these Terms will survive termination.

10. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, New York.

11. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes through the Services or by email. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.

13. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

14. SMS MESSAGING PROGRAM TERMS

Program Name & Description: When you opt in to receive SMS messages from OurFirm.ai, you will receive texts related to account security, such as multi-factor authentication codes and important alerts. These messages are solely for the purpose of enhancing the security and usability of the Services.

Opt-In Consent: By providing your mobile number and verifying it, you expressly consent to receive SMS messages for the purposes described above. This consent is in addition to your acceptance of these Terms.

Opt-Out (STOP): You can opt out at any time by replying “STOP” to any SMS message. Upon opting out, you will receive one final confirmation message, and no further SMS messages will be sent to you unless you re-enroll.

Customer Support & HELP: For assistance, reply “HELP” to any SMS message, or contact our support team directly.

Carrier Disclaimer & Message Frequency: Standard message and data rates may apply. Mobile carriers are not liable for any delays or failures in message delivery. The frequency of messages is limited to those necessary for account security and MFA, typically one message per login attempt.

Privacy & Data Use: Your participation in our SMS messaging program is subject to our Privacy Policy. We do not sell, rent, or share your phone number or SMS consent data with third parties. For more details, please review our Privacy Policy.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
